Section-8 company is a company which is registered under the companies act, 2013 with the objective of social welfare, the motive of this company is to promote or working in the development of society, commerce, literature, education, research and development, protection of earth and environment, protection of all living creatures, sports, etc. The company cannot share or distribute its profit among the shareholders of the company, they can only use the money for the achievement of the objective of the company. The section-8 company can be registered either as a private limited or public limited as per its choice or requirement, if it is registered as a private limited then a minimum of 2 persons are required as a director and shareholder but if it is starting as the public limited then minimum 3 persons are required as a director and 7 as a shareholder. The section-8 company gets many advantages in companies to act as well as income tax act and other several laws, in companies act the advantages are like exemption in the use of “Private Limited” or “limited” at the end of the name, the company can send the notice for AGM at least 14 days before rather than 21 clear days, or in holding board meetings, etc.

Documents Required:

FOR SHAREHOLDER/DIRECTOR

1.    PAN
2.    Passport size photo
3.    Id Proof
4.    Address proof

FOR REGISTERED OFFICE ADDRESS

1.    Property proof like sale deed, house tax receipt, rent agreement or any other document
2.    Utility bill like electricity bill/telephone bill/mobile bill/gas bill, any one of them
3.    NOC from the person whose name is mentioned in the bill

Procedure to register Section-8 company

1.    Name Application: The name application should be sent to the registrar for name reservation, and it should be noted that the name which is applied should be unique and not similar to the existing company. The section-8 company can use the words like “Foundation”, “Association”, “Organization”, “Sansthan”, etc. at the end of the name there is no need to write “private limited” or “limited” at the end. Once the name is approved it will be valid for 20 days and in between these days a final form should be submitted otherwise the name will get expired and again a new application shall have to be filed for name reservation.
2.    DIN & DSC: All the directors must have Digital Signature (DSC) before registration of section-8 company because the form can be signed only by the DSC. Earlier it was mandatory to have DIN for registering the company but now there is no need to have DIN at the time of registration because now the DIN can be applied directly with the company registration and in the same form, the registrar will allot the DIN at the time of issuance of the certificate.
3.    Drafting of Documents: Once the name is approved there are few documents that are needed to be drafted and then it should be signed by the proposed director of the company. These documents will be submitted to the registrar along with the forms.
4.    License Application: Earlier there is a separate form that needs to be file for grant of license this form was submitted after the name approval but before the registration application because the copy of the license has to be submitted to the registrar for issuance of the certificate. Now this step is eliminated and now the license application is filed along with the registration form and it is granted with the certificate.
5.    Final Form: After all, above procedure a final form submitted to the registrar along with all the required documents and information and fees. If the registrar is satisfied with the details and documents provided in the form then he will issue a certificate of incorporation to the company along with the DIN of the directors, PAN of the company and license for operating social welfare activity.
