The Singapore government requires companies to appoint a secretary within 6 months of incorporation. The key role of a secretary is to keep the company compliant with the rules set by the Singapore Companies Act and Accounting and Corporate Regulatory Authority (ACRA). Within the company, the corporate secretary fulfils the advisory role.

As enforced by ACRA, a company secretary should be 1.) a natural person and 2.) a Singapore local resident.

The company's sole directory cannot take on this role.

This position cannot be vacant for more than half a year. A company will face penalties should it fail to fill the position.
